Minutes of VPS General Membership Meeting: September 23,2007
Annual Meeting - TW Wood Art Gallery, Montpelier, Vermont - Noon-3pm - President: Wendy Soliday

Incorporation and By-Laws
VPS is now Incorporated in the State of Vermont as the Vermont Pastel Society, Inc. Although we are incorporated as a non-profit we will NOT seek federal tax exempt status (501C3), too much work, not deemed necessary at this time. We have established a checking account and a Timelynx CD at the Merchants Bank under the new VPS federal ID number. The draft by-laws were distributed to the membership with the announcement of the annual meeting. VOTE: bylaws approved by unanimous voice vote Richard Brock, a Montpelier attorney, will be the official "agent" for VPS.
Election of Officers
Terms of Office - two years. (to maintain continuity, initial Board terms may be adjusted). VOTE - Officers approved by unanimous voice vote

Discussion of the 2 member-at-large officer positions. The bylaws state that there will be 2 members-at-large board members. These board positions allow VPS some flexibility to meet various needs. These positions can be seen as "board members in training" or as ways to maintain continuity (Immediate Past President). Discussion. VOTE: bylaws were amended to include 3 members-at-large directors. One dissenting vote, all others approved. VOTE: 3 member-at-large directors

Policies & procedures. The bylaws were kept simple to provide maximum flexibility for the organization. The Board will draft some basic policies for approval at the next annual meeting. The board will also create some simple procedures for routine business. These procedures will be included with the draft policies.
Recognition and Reports
RECOGNITION:
ANNE GOULD: worked on bylaws and assuming duties of VPS Treasurer.
PHIL LAUGHLIN: VPS website design and editing. Effectively increased visitors to the site 3-fold to 400 per month. Check website to update Gallery information and send news (www.vermontpastelsociety.com). Thanks for role as Treasurer for past 4 years.
RENE SCHALL: for work on membership. There are now 84 paid members. She will send out an updated list. Rene also passes along information regarding news items of interest from other pastel organizations and exhibits.

- March 07- SVAC members show (30 members exhibited) - Mallory Rich and Penny Viscusi coordinated the show.
- May 07- IAPS convention in Albuquerque, NM
- June 07- Lorenzo Chavez workshop-Anne Wickham, Kate Cone - coordinators
- June-July 07- GovernorŐs Office juried Exhibition-Sandy Buck, Skye Forrest - coordinators
- July-Aug 07- SVAC Invitational Show (8 VPS members) - Mallory Rich, Penny Viscusi - VPS liaisons
- July 07 - Jayne Shoup hosted a paint-out and demonstration of Ann Templeton's techniques.
Business
Exhibitions: Next year VPS to have one all members show and one juried show. Framing for shows must be professional in appearance. All members encouraged to show. Joyce Kahn volunteered to be chairperson of Exhibition committee for 07-08. SVAC show will be after April 2008. Mallory and Penny will keep VPS membership informed on curator's decisions regarding the shows. Vermont venues for possible pastel shows:
- Mary Bryan Gallery, Jeffersonville. Janice Solek-Tefft will inquire about this as a possibility and report back to the board.
- TW Wood Art Galley, Montpelier. Jan Ghiringhelli will inquire, report to board.

Awards and Prizes for VPS Shows: should VPS contribute prize money for exhibitors? Exhibition committee will entertain ideas and discuss as a committee. members encouraged to bring all ideas forward to the committee.

- Programs, demos and workshops from within VPS
- Jayne Shoup - "Customized Cigar Box to use as pastel paint box"
- host a DVD gathering - Skye Forest has VPS DVD collection.
- Michael Shaefer would appreciate future 2-day weekend workshops
A VPS interest group on Yahoo: Dayle Ann Stratton would like to set up an online interest group for VPS members only. This might improve communication and sharing of ideas among members. Dayle will work with the board on this idea.
